Ist call to submit documents of shares in the Company

Due to the entry into force of the Act of August 30, 2019 amending the Code of Commercial Companies and certain other acts (Journal of Laws of 2019, item 1798), hereinafter referred to as “the Act”, NORAUTRON S.A. with its registered office in Zduńska Wola, Poland (98-220), ul. Henrykowska 16, registered in Register of Entrepreneurs of the National Court Register kept by District Court for Łódź-Śródmieście in Łódź, XXth Commercial Division, under the KRS No.: 0000181127, share capital PLN 18 026 060, fully paid, Tax Identification No. (NIP): 8290007485, REGON No.: 730188926 (hereinafter referred to as “the Company”), hereby informs the shareholders about the introduction to the Polish legal order of the obligatory dematerialisation of shares of the companies, which means the replacement of the paper form of documents of shares by an electronic entry in the register of shareholders kept by the entity referred to in Art. 3281 § 2 of the Code of Commercial Companies, as amended by the Act.

Pursuant to the introduced changes, the validity of the applicable share documents issued by the Company shall expire by law on March 1, 2021. After that date, the documents of shares shall not be documents confirming the status of shareholder, but only a documentary evidence necessary to update the electronic register of shareholders. After January 1, 2026, shareholders whose documents of shares have not been submitted in the Company and have not been entered in the electronic register of shareholders shall loose the protection of shareholders rights.

Taking the above into account, pursuant to art. 16 sec. 1 of the Act, the Company hereby calls all shareholders to promptly submit their documents of Company’s shares (certificates of Company’s shares) in the registered office of the Company (ul. Henrykowska 16, 98-220 Zduńska Wola, Poland), in order to enable their transformation into the electronic record. The submission of documents of shares in the Company takes place by a written confirmation of the submission issued to the shareholder.

This call is the first of the five required by Art. 16 sec. 1 of the Act. The Act does not provide for an exception from five calls to submit documents of shares, even in case of an earlier submission of all documents of shares in the Company.

At the same time, the Company informs that on 3.03.2021 the Company, pursuant to Art. 16 sec. 1 of the Act in connection with art. 402 § 3 of the Code of Commercial Companies, called for the first time the sole shareholder of the Company – POLINOR AS – to submit documents of shares in the Company.

IInd call to submit documents of shares in the Company
